Review notice: this document uses bracketed placeholders such as [Jurisdiction], [Legal Entity Name], and [Registered Address]. It is a template structure and must be reviewed and completed by qualified legal counsel in your operating jurisdiction before publication.
By accessing this website or engaging Chamber Design, operating as [Legal Entity Name] of [Registered Address], you agree to these terms. If you do not agree, do not use the site or our services.
You may view and print pages for your own business evaluation. You may not scrape, republish, or use the content of this site to train machine learning systems, nor attempt to gain unauthorised access to our systems or interfere with their operation.
Design services are provided only under a written proposal or statement of work that identifies scope, deliverables, phase schedule, fees, and assumptions. Where a signed proposal conflicts with these terms, the proposal prevails.
Estimates given before a signed proposal are indicative and are not an offer capable of acceptance.
You agree to provide accurate technical inputs, including driver specifications, target curves, regulatory requirements, and manufacturing constraints, and to nominate a single decision maker for approvals.
Delays in feedback, input data, or third-party sign-off may shift the schedule and, where material, the fees, in each case notified in writing before additional work is undertaken.
Unless otherwise stated, engagements are invoiced by phase, with an initiation payment due before work begins and remaining phases invoiced on completion. Invoices are payable within [Payment Term, e.g. 30 days] of the invoice date.
Overdue amounts may accrue interest at [Late Payment Rate] as permitted by the law of [Jurisdiction]. Third-party costs such as tooling, materials, testing, and travel are passed through at cost and pre-approved in writing.
Background intellectual property, including our methods, templates, measurement libraries, and pre-existing know-how, remains ours. On receipt of all sums due, the foreground deliverables prepared specifically for you, together with the associated design rights, transfer to you.
Unless you notify us otherwise in writing, we may reference the engagement and display non-confidential imagery of released products in our portfolio after public launch.
Each party will keep the other's confidential information secret, use it only for the engagement, and disclose it only to personnel who need it. These obligations survive termination for [Confidentiality Term, e.g. 5 years] or for as long as the information remains confidential, whichever is longer.
We warrant that services will be performed with the reasonable skill and care expected of a competent design studio. Acoustic and mechanical predictions are engineering estimates; final performance depends on manufacturing execution, component tolerance, and factory process control outside our control.
The website is provided “as is” without warranties of any kind to the fullest extent permitted by the law of [Jurisdiction].
Neither party is liable for indirect, incidental, or consequential loss, loss of profit, loss of production, or loss of anticipated savings. Our total aggregate liability arising out of an engagement is limited to the fees paid by you for that engagement in the [Liability Period, e.g. 12 months] preceding the claim.
Nothing in these terms limits liability that cannot be limited under the law of [Jurisdiction], including liability for death, personal injury, or fraud.
Either party may terminate an engagement on [Notice Period, e.g. 30 days] written notice, or immediately for material breach that is not remedied within [Cure Period, e.g. 15 days]. On termination you pay for work performed and irrevocably committed third-party costs up to the termination date.
These terms are governed by the law of [Jurisdiction], and the courts of [Jurisdiction] have exclusive jurisdiction. The parties will attempt good-faith resolution, including [Dispute Mechanism, e.g. mediation], before commencing proceedings.
We may amend these terms for the website at any time by publishing an updated version here. Terms applying to a signed engagement can be changed only by written agreement between the parties.
Write to us and we will respond within ten business days.
